Terms of Use

1. About these terms

These Terms of Use form an agreement between you and Jack Dickson trading as Novas Agency, the UK sole trader who operates Nova Content OS (also described in earlier documentation as Novas Content Tracker). They apply to our website, creator workspace and connected-provider features (the “Service”). By creating an account or using the Service, you agree to these terms and our Privacy Policy.

If you do not agree, do not create an account or use the Service. Nothing in these terms limits rights that cannot lawfully be limited, including mandatory UK consumer rights where they apply.

2. Eligibility and accounts

You must be at least 18 and legally able to enter this agreement. You must provide accurate information, keep your sign-in method secure and promptly notify us of suspected unauthorised access. Your workspace is for your use as an individual creator; you may not sell, share or transfer access, impersonate another person or use another person's account without authority.

You are responsible for activity performed through your account until you notify us and we have a reasonable opportunity to secure it. We may require email, phone or recent identity verification for sensitive account changes.

3. Service and licence

Nova helps you organise ideas and content, schedule account-specific distributions, upload files, request supported publishing actions and view provider-backed status or performance data. Subject to these terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable right to use the Service for its intended purpose.

We and our licensors retain all rights in the Service, software, visual design, documentation and branding. No right to copy, resell, reverse engineer, scrape, bypass security, build a competing service from non-public parts of Nova or use our marks is granted except where applicable law expressly prevents that restriction.

4. Your content

You retain ownership of content you submit. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, process, adapt for technical delivery and transmit that content only as needed to provide, secure and support the Service, carry out your instructions and meet legal obligations. This licence ends when the content is deleted from Nova, except for necessary technical or legal retention and copies already sent to a provider at your direction.

You promise that you control the connected accounts and have all rights, permissions, releases and lawful bases needed for the content, music, people, brands and personal data you submit or publish. You are responsible for accuracy, disclosures, audience settings, advertising and sponsorship labels, accessibility, platform rules and applicable law.

5. Connected services and publishing

You choose whether to connect a provider and which supported action Nova should request. Provider terms, community rules, API policies, permissions, quotas, review status, music rules, advertising rules and privacy settings continue to apply. You authorise us to send your selected content and instructions to that provider through its official API.

By using Nova's YouTube API Services features, you also agree to be bound by the YouTube Terms of Service.

A scheduled time is an instruction to place work in Nova's durable publishing queue; it is not a guarantee that a provider will publish at that exact moment. Hosting schedules, provider processing, outages, expired permission, review restrictions or invalid content can delay or prevent publication. You must review status and errors. Nova does not represent a post as published without official API evidence or your explicit confirmation in an assisted workflow.

Some connectors or operations may be labelled coming soon, testing, approval required, manual or unavailable. You must not rely on those features until the interface states they are available for your account. Public AT Protocol records can be copied by independent networks, so source deletion may not erase every downstream copy.

6. Acceptable use

You must not use Nova to:

• break the law, infringe intellectual-property or privacy rights, or publish deceptive, abusive, exploitative or unlawful material;
• send spam, manipulate engagement, evade provider enforcement or operate accounts you do not control;
• upload malware, probe or defeat security, access another workspace, overload the Service, interfere with publishing jobs or misuse an API, callback or credential;
• conceal the origin of activity, provide false information, or help another person do anything prohibited by these terms; or
• use the Service in a way that creates unreasonable security, operational, legal or reputational risk for Nova or a provider.

Good-faith security research must follow our responsible-disclosure guidanceand does not authorise access to other users' data or disruption.

7. Availability and changes

We aim to provide a reliable service, but do not promise uninterrupted or error-free operation. We may maintain, change, limit or discontinue features to address security, law, provider requirements, cost or product changes. We will give reasonable notice of a material adverse change where practical, unless urgent security or legal action is needed.

Nova currently does not offer a paid subscription through the Service. If paid plans are introduced, pricing, payment, renewal, cancellation and any applicable consumer withdrawal information must be presented before you buy and may be governed by additional terms.

8. Suspension and termination

You may stop using Nova, disconnect providers, export your workspace and request permanent account deletion from the account area. Deleting Nova data does not necessarily delete content already published to a provider.

We may restrict or suspend access where reasonably necessary to protect users or the Service, investigate suspected abuse, comply with law or a provider obligation, or address a serious breach. Where appropriate, we will explain the reason and allow you to remedy it. We may terminate for a material or repeated breach after appropriate notice, unless immediate action is necessary.

9. Disclaimers

The Service is a workflow tool, not legal, tax, advertising, copyright or professional advice. Provider metrics may be delayed, revised or incomplete. You remain responsible for reviewing content, permissions, scheduling, status and provider compliance before relying on an action or report.

To the extent permitted by law, the Service is provided “as is” and “as available”. We do not promise that it will meet every requirement, that every provider will approve or retain access, or that an external platform will accept, publish, retain or distribute content.

10. Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of rights that cannot be excluded, or any other liability that law does not allow us to limit.

Subject to that, we are not responsible for losses caused by a social provider, content or account you do not control, your breach of these terms, failure to follow an actionable warning, or events outside our reasonable control. If you use Nova wholly or mainly for business, we are not liable for indirect or consequential loss, lost profit, revenue, opportunity, goodwill or anticipated saving to the extent permitted by law. Any further limitation must be interpreted fairly and consistently with mandatory consumer law.

11. General terms

If a provision is unenforceable, the rest remains effective. A delay in enforcing a right does not waive it. You may not transfer this agreement without our consent; we may transfer it as part of a genuine business reorganisation if that does not reduce your mandatory rights. These terms, the Privacy Policy and any terms shown for a specific feature form the agreement about the Service.

These terms are governed by the laws of Northern Ireland, subject to any mandatory rights you have under the law of your place of residence. The courts of Northern Ireland have non-exclusive jurisdiction, and courts with mandatory consumer jurisdiction remain available. Before formal proceedings, please contact us so both sides can try to resolve the issue.

12. Changes and contact

We may update these terms to reflect service, provider, security or legal changes. The effective date identifies the current version. We will give appropriate notice and request renewed acceptance where a material change requires it. Questions or notices can be sent to help@novasagency.com.
